Terms and Conditions of Service
1. General
These terms and conditions govern all contracts for the provision of goods and services by Lancaster-Printing (the “Company”) to the customer (the “Customer”). By placing an order, the Customer agrees to be bound by these terms.
2. Tax
The Company reserves the right to charge the amount of any Value Added Tax (VAT) payable, whether or not included on the initial estimate or invoice.
3. Proofs and Approvals
Proofs of all work may be submitted for the Customer’s approval. The Company shall incur no liability for any errors not corrected by the Customer in proofs so submitted.
Alterations: Additional charges will apply for any additional proofs required due to Customer alterations.
Discretion: Where style, type, or layout is left to the Company’s discretion, any subsequent changes required by the Customer will be charged on a time-and-materials basis.
4. Intellectual Property and Copyright
Ownership: Unless agreed otherwise in writing, the copyright of all artwork, designs, and illustrations created by the Company remains the property of the Company.
Promotion: The Company reserves the right to use any artwork or printed samples produced for its own promotional purposes.
Customer Indemnity: The Customer is responsible for obtaining all necessary authorities to reproduce any materials (text, images, fonts, etc.) provided to the Company. The Customer shall indemnify the Company against all claims, costs, and expenses arising out of any infringement of intellectual property rights.
5. Company Imprint
Unless otherwise specifically requested in writing, all work may carry the Company’s imprint, positioned at the Company’s discretion.
6. Delivery and Payment
Turnaround: “Working Days” are defined as days on which clearing banks in the City of London are open. Delivery is deemed to take place upon collection by the Customer or delivery to the Customer’s address.
Delays: The Company is not liable for delivery delays caused by third-party carriers or the Customer’s failure to provide correct delivery information.
Risk and Title: Risk of loss or damage passes to the Customer upon delivery. However, ownership of the work remains with the Company until payment has been received in full.
Suspension: Should work be suspended or delayed by the Customer for 30 days or more, the Company is entitled to immediate payment for work carried out and materials ordered.
7. Variations in Quantity
The Company will endeavor to deliver the exact quantity ordered. However, the Customer acknowledges that a margin of 4% is inherent in the printing process. Shortages up to 4% will be considered acceptable. For shortages exceeding 25%, the Company’s sole liability shall be a reprint of the missing quantity within a reasonable timeframe.
8. Claims
Damage/Loss: Advice of damage, delay, or partial loss must be given in writing within 3 days of delivery.
Non-delivery: Claims for non-delivery must be made within 28 days of the dispatch date.
General Claims: Any other claims must be made in writing within 28 days of delivery. The Company shall not be liable if these timescales are not met.
9. Liability
The Company shall not be liable for any indirect or consequential loss, loss of profits, or loss of data. The Company’s total aggregate liability in connection with any order shall be limited to the total sums paid by the Customer for that specific order. Nothing in these terms excludes liability for death or personal injury caused by negligence.
10. Credit and Payment Terms
Settlement: Invoices are to be settled within 28 days of the invoice date unless otherwise agreed in writing.
Late Payment: For invoices not settled within the agreed terms, the Company reserves the right to charge interest on the overdue debt at the statutory rate currently in force, plus an administration fee to cover debt recovery costs.
Non-Payment: The Company reserves the right to suspend ongoing work or take down digital services (websites/apps) until all outstanding payments are received in full.
11. Insolvency
If the Customer becomes insolvent, enters liquidation, or ceases trading, the Company may stop work immediately and claim payment for all work completed and materials purchased. The Company shall have a general lien on all Customer property in its possession and, after 14 days’ notice, may dispose of such property to offset unpaid debts.
12. Illegal and Offensive Matter
The Company shall not be required to print any matter which, in its opinion, is illegal, libellous, offensive, or infringes on the rights of a third party. The Customer shall indemnify the Company against all claims arising from the nature of the content printed at the Customer’s request.
13. Colour Reproduction
While every effort is made to obtain the best possible colour reproduction, variation is inherent in the print process. The Company cannot guarantee an exact match in colour or texture between the Customer’s original materials (digital or physical) and the final printed product.
14. Data Protection
The Company will process the Customer’s personal data in accordance with applicable data protection legislation (UK GDPR) for the purposes of account management, fulfillment, and internal marketing. Your data will not be shared with third parties for their marketing purposes.
15. Force Majeure
The Company shall be under no liability if it is unable to perform any obligation for any reason beyond its reasonable control, including (but not limited to) Acts of God, war, fire, flood, power failure, or industrial disputes.
16. Digital Services (Websites and Apps)
Browser Compatibility: The Company endeavors to ensure web pages work in current versions of major browsers (Chrome, Firefox, Safari). Absolute assurance cannot be given for future browser updates or niche devices.
Security: While the Company uses reasonable endeavors to ensure uptime, it does not guarantee that digital services will be uninterrupted or secure.
Prohibited Acts: The Customer agrees not to use digital services for illegal acts, spamming, or activities that violate network security.
17. Law and Jurisdiction
These terms shall be governed by and construed in accordance with English Law. The parties submit to the exclusive jurisdiction of the English Courts.
